Terms of Service

1. Agreement to Terms

By accessing or using ATS Mate (operated by Patrik Duch s.r.o., IČO: 24091090, with its registered office in the Czech Republic, hereinafter “Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, our Cookie Policy, and our Acceptable Use Policy. These Terms are governed by the laws of the Czech Republic and, where applicable, by the regulations of the European Union. If you do not agree, please do not use our service.

2. Description of Service

ATS Mate is an online resume builder designed to produce ATS-compatible resumes for software engineering positions in the US and EU markets. Features include:

• Resume creation, editing and real-time preview
• PDF export optimised for ATS parsers
• Job application tracker
• Shareable resume links with view analytics
• Resume version history with point-in-time snapshots
• Company blacklist — exclude specific employers from your job search

We may modify, suspend or discontinue features. We commit to giving at least 30 days’ advance notice before removing any feature that is part of your active paid plan.

3. Eligibility

You must be at least 16 years old (or the minimum age in your jurisdiction) and capable of entering into a legally binding agreement. If you use ATS Mate on behalf of an organisation, you represent that you have authority to bind that organisation.

4. Account & Security

To use our service, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately at legal@atsmate.app if you suspect unauthorised access
• Accept full responsibility for all activities under your account

We may suspend or terminate accounts that violate these Terms, but we will always explain why (see Section 15).

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Distribute malware, spam or harmful content
• Circumvent rate limits, security controls or access restrictions
• Scrape, crawl or automate access beyond normal usage
• Create multiple accounts to circumvent plan limits or bans
• Use the service to spam employers with mass-generated resumes

7. Your Content — Ownership & Rights

Your CV is yours. Fully and unconditionally.

• You retain 100% ownership of all resume content, personal data, cover letters, and any materials you create or upload (“Your Content”).
• You grant us a limited, revocable licence to store, process and display Your Content solely to operate the service for you. This licence ends the moment you delete your content or your account.
• We do not train any AI or machine-learning models on Your Content. Not now, not in the future. This is a hard rule, not a policy preference.
• We do not claim any intellectual property rights over Your Content.
• We do not acquire rights to your feedback, suggestions, or feature requests. If you share an idea with us, you keep it. We may implement similar ideas independently, but we will never claim your submission granted us a licence.

7.1 Data Portability & Snapshots

• You can export your data at any time in standard formats (PDF, JSON).
• Resume version history provides point-in-time snapshots that serve as verifiable proof of your content’s state at any given moment.
• Upon account deletion, we provide a final export window of 30 days before permanent erasure.

8. Subscription Plans & Fair Billing

8.1 Plans

• Free Trial — 14-day full access to all features, no credit card required upfront. After the trial, you may choose a paid plan or your account will be downgraded to a limited free tier.
• Starter & Pro Plans — paid monthly or annually. Prices are displayed on the Pricing page.

8.2 No Billing Surprises

• Payments are processed by Stripe. We never store your full card number.
• Subscriptions renew automatically. We send a reminder email 7 days before each renewal with the amount and a one-click cancel link.
• You can cancel at any time from Settings. Access continues until the end of the current billing period. No penalty, no questions, no retention dark patterns.
• Price increases require 30 days’ notice and apply only to the next billing cycle, never the current one.

8.3 Refund Policy

• 14-day unconditional refund on your first purchase of any plan. No reason needed. Email legal@atsmate.app or use the in-app refund button.
• Renewal charges: refundable within 48 hours of the charge if you missed the reminder email. After 48 hours, access continues until the end of the period.
• For EU/EEA consumers: your statutory 14-day withdrawal right under Directive 2011/83/EU (Consumer Rights Directive) applies in full. We do not ask you to waive it. This voluntary guarantee operates alongside, and does not replace, your statutory rights.

8.4 Refund Abuse Prevention

To prevent abuse of the money-back guarantee, escalating restrictions apply following each refund:

• Up to 30 days restriction on new purchases after a first refund
• Up to 90 days after a second refund within a 12-month period
• A permanent restriction on the voluntary money-back guarantee after a third refund within a 12-month period

These restrictions apply only to new purchases and re-subscriptions — your existing account and access to the free tier are not affected. They do not affect the statutory withdrawal rights of EU/EEA consumers under Directive 2011/83/EU.

9. Intellectual Property

The ATS Mate service, including its original content, features, templates, UI design and source code, is owned by Patrik Duch s.r.o. and is protected by Czech, European Union, and international copyright and intellectual property laws.

Resume templates are licensed to you for personal use with your subscription. The content you fill in is yours (Section 7). You may not copy, modify, distribute or reverse-engineer any part of the platform without written permission.

10. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of ATS parsing results
• Warranties that resumes will pass every ATS system or lead to interview invitations
• Warranties that exported PDFs will display correctly on all systems

You use the Service at your own risk. We build the best tool we can; hiring decisions remain with employers. For consumers within the EU/EEA, this disclaimer does not affect your statutory rights under applicable consumer protection laws, including Directive 2011/83/EU (Consumer Rights Directive).

11. Limitation of Liability

To the maximum extent permitted by applicable law, including Czech law (Act No. 89/2012 Sb., Civil Code) and EU law:

• Patrik Duch s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for loss of profits, data, goodwill, or other intangible losses
• Our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim, or €100 EUR, whichever is greater

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable Czech or EU law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ATS Mate, its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you publish through shared resume links
• Your circumvention of security restrictions

13. Data Protection & Privacy

ATS Mate collects and processes personal data as described in our Privacy Policy, which forms an integral part of these Terms.

• Storage: Your resume data is stored on Hetzner EU infrastructure. Payment data is processed by Stripe (US, covered by SCCs).
• Encryption: All data is encrypted in transit via TLS.
• Access: Only essential personnel can access production data, under strict logging and audit controls.
• Breach notification: In the event of a data breach affecting your personal data, we will notify you within 72 hours as required by GDPR.

ATS Mate processes all personal data in accordance with the General Data Protection Regulation (Regulation (EU) 2016/679, “GDPR”) and applicable Czech data protection laws. The competent supervisory authority is the Czech Office for Personal Data Protection (ÚOOÚ).

14. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. For paid features, we commit to 30 days’ notice before removal. We shall not be liable for any modification, suspension, or discontinuation of free features. We do not guarantee any specific uptime or availability.

15. Termination

15.1 By You

You may delete your account at any time from Settings. We provide a 30-day export window after deletion request during which you can download all your data.

15.2 By Us

We reserve the right to terminate or suspend your account for:

• Violations of these Terms
• Suspected fraudulent or illegal activity
• Circumvention of security restrictions
• Any other reason at our sole discretion

Before termination, we will: (a) explain the reason in writing, (b) give you an opportunity to remedy the violation where possible, and (c) provide the 30-day export window for your data. Immediate suspension without notice is possible only if your actions pose an active security threat.

If we terminate your account for reasons other than a violation of these Terms, we will refund the unused portion of any prepaid subscription period on a pro-rata basis.

Upon termination, your right to use the Service will immediately cease. We may delete your data after the 30-day export window in accordance with our data retention policies. For EU users, termination does not affect your rights under GDPR regarding personal data previously processed.

16. Changes to These Terms

We believe silent policy changes erode trust. Here’s how we handle updates:

• Every version of these Terms is numbered (current: v1.0) and archived. Previous versions will remain publicly accessible.
• Material changes require 30 days’ email notice to all registered users. The email will include a plain-language summary of what changed and why.
• If a change materially reduces your rights or expands our data usage, it requires your explicit consent (not just continued use).
• Non-material changes (typo fixes, formatting, clarifications that don’t alter meaning) may be published immediately with a changelog note.
• If you do not agree with the changes, you may stop using the Service and cancel your subscription before the changes take effect.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@atsmate.app and attempt to resolve the dispute informally for at least 30 days.

17.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to conflict of law provisions. For matters within the scope of EU law, the applicable EU regulations shall take precedence.

17.3 Jurisdiction

Any disputes shall be submitted to the competent courts of the Czech Republic. For consumers within the EU/EEA, this does not affect your right to bring proceedings in the courts of your member state of residence in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast).

17.4 Out-of-Court Resolution (EU consumers)

For consumers resident in the Czech Republic, the competent body for out-of-court resolution of consumer disputes is the Czech Trade Inspection Authority (Česká obchodní inspekce, ČOI), Štěpánská 567/15, 120 00 Prague 2, www.coi.cz. Consumers in other EU/EEA member states may contact the competent alternative dispute resolution body in their country of residence.

17.5 Class Action Waiver (non-EU users)

To the extent permitted by applicable law, you agree that any proceedings will be conducted only on an individual basis and not as a class action or representative action.

18. General Provisions

• Severability: If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and ATS Mate regarding the Service.
• No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
• Language: These Terms are drafted in English. In the event of any discrepancy between translated versions and the English original, the English version shall prevail.
